1. Who we are
These Terms of Use (the “Terms”) govern your use of the order-ahead software application available at quickoutnj.com and order.quickoutnj.com (the “Service”).
- “The Platform”means AiGade LLC, a New Jersey limited liability company that develops, hosts, and operates the Service. References to “we”, “us”, and “our” in these Terms mean the Platform unless context clearly requires otherwise.
- “The Store” means Quick Out Convenience LLC, an independent New Jersey business operating the physical location at 1111 St. Georges Avenue, Colonia NJ 07067. The Store is a separate legal entity from the Platform.
- “You” means the customer using the Service.
2. What the Platform does
The Platform provides software-as-a-service that lets you (a) view a menu published by the Store, (b) assemble a pickup order, and (c) transmit that order electronically to the Store. That is the entirety of the Platform's role. The Platform is a technology vendor. It is not a restaurant, convenience store, smoke shop, food vendor, retailer, deliverer, payment processor, or wholesaler.
3. What the Platform does NOT do
The Platform does not:
- prepare, cook, package, store, or handle food;
- deliver, transport, or hand off any physical product;
- sell food, beverages, tobacco, lottery, or any retail item;
- set or independently control retail prices;
- verify customer identification for age-restricted purchases;
- handle cash, accept cards, or process retail payment;
- hire, supervise, or employ Store staff;
- own, lease, maintain, clean, or inspect the Store's premises;
- hold any food, tobacco, lottery, or alcohol permit on its own behalf.
4. What the Store does
The Store is solely and independently responsible for:
- operating the physical retail location and all on-site activity;
- preparing, packaging, and handling all food and beverage items, including ingredient sourcing, freshness, allergens, temperature control, and cross-contamination prevention;
- complying with all federal, state, and local food-safety, sanitation, labeling, and licensing requirements, including FDA, USDA, the New Jersey Department of Health, and the local health authority;
- holding, renewing, and complying with all permits required for its business (food service, tobacco retail, lottery, and any other regulated category it sells);
- employing, training, supervising, and disciplining Store staff;
- handling all in-person transactions, including payment acceptance, cash handling, refunds, voids, and receipt issuance;
- setting menu, prices, hours, and item availability;
- verifying customer age and identification at the counter for tobacco, lottery, hookah, Delta 8, CBD, Kratom, alcohol, and any other age-restricted product;
- resolving customer-service disputes that originate at the counter.
5. Your account
You may use the Service as a guest or by creating an account. You agree to provide accurate, current, and complete information and to keep your contact information up to date. You are responsible for safeguarding your password and for any activity that occurs through your account. Notify the Platform at noreply@quickoutnj.com if you suspect unauthorized use.
You must be at least 13 years of age to create an account. Tobacco, lottery, alcohol, and certain other age-restricted products may be purchased only by customers 21 years of age or older, and only after in-person ID verification by the Store at pickup.
6. Orders are between you and the Store
Every order you place through the Service is a transaction between you and the Store. The Platform is not a party to that transaction. The Platform transmits your order; the Store decides whether to accept, modify, substitute, or decline it, and the Store performs the transaction. The Store may cancel any order at its sole discretion, including for unavailability, kitchen capacity, suspected fraud, or any reason permitted by law.
7. Payment
Payment is collected by the Store at the counter at pickup. The Platform does not currently accept, process, hold, refund, or otherwise touch payment for retail orders. Prices shown in the Service are quoted by the Store and include applicable New Jersey sales tax where required. Any dispute about payment, change owed, receipts, or in-person card processing is between you and the Store.
8. Pickup
Orders are pickup-only at the Store's physical address. You must arrive within the pickup window you selected. The Store will hold prepared orders for a reasonable time at its sole discretion. Orders not picked up within a reasonable period may be discarded for food-safety reasons. The Platform has no responsibility for orders that you do not pick up.
9. Age-restricted products
New Jersey law requires in-person identification at the time of sale for tobacco, vapor, lottery, alcohol, hookah, Delta 8, and certain other regulated products. The Platform does not verify your age online. By placing an order that contains any such item, you affirm that you are at least 21 years of age and that you will present a valid government-issued ID to Store staff at pickup. The Store may refuse to release any age-restricted item if you do not produce acceptable identification.
10. No food-safety guarantee from the Platform
The Platform makes no representation, warranty, or guarantee about food quality, freshness, ingredients, allergens, preparation practices, cross-contamination, temperature, or safety. All food-related responsibility is the Store's. If you have any food allergy or medical sensitivity, you must communicate it to Store staff in person at pickup and confirm preparation conditions before consuming any item.
11. Communications
By providing your mobile phone number you consent to receive SMS messages from the Platform on behalf of the Store, including verification codes, order confirmations, and pickup-ready notifications. If you separately opt in to marketing, you also consent to receive promotional SMS and email. Standard message and data rates may apply. Reply STOP to any marketing SMS to unsubscribe. Reply HELP for assistance. Transactional messages required to deliver your order may continue regardless of marketing opt-out.
12. Acceptable use
You agree not to:
- use the Service for any unlawful purpose;
- submit fraudulent, false, or misleading order information;
- interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying systems;
- scrape, spider, or otherwise programmatically collect data from the Service without the Platform's written permission;
- impersonate any person or misrepresent your affiliation;
- harass Store staff, Platform staff, or other customers.
13. Intellectual property
The Service, including its software, design, source code, photographs, menu layouts, and trademarks, is owned by AiGade LLC or its licensors and is protected by United States and international intellectual-property law. You may not copy, modify, distribute, or create derivative works from the Service without the Platform's written permission.
14. Indemnification of the Platform and the Store by you
You agree to defend, indemnify, and hold harmless both the Platform (AiGade LLC) and the Store (Quick Out Convenience LLC), along with their respective officers, directors, members, employees, contractors, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your conduct at or near the Store; (d) your interactions with Store staff or other customers; or (e) your violation of any third-party right.
15. Indemnification of the Platform by the Store
Under a separate written agreement between the Platform and the Store, the Store has agreed to defend, indemnify, and hold the Platform harmless against all claims arising from Store operations, including food safety, premises, employment, payment, and regulatory matters. Customers should pursue Store-related claims directly with the Store.
16. Disclaimer of warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, the Platform disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, freedom from defect, and uninterrupted or error-free operation. The Store's products and services are subject to the Store's own warranties, or absence of warranties, and the Platform makes no representation about them.
17. Limitation of liability

In summary, the Platform's maximum aggregate liability to you for any and all claims arising out of or related to the Service in any twelve-month period is capped at the lesser of (a) fifty United States dollars (US$50.00) or (b) the total fees you paid to the Platform in the prior twelve months. The Platform charges no fees to end-user customers, so this cap will typically be zero.
The Platform is not liable for: foodborne illness, allergic reactions, food quality, premises injury, theft, employee conduct at the Store, in-person disputes, payment disputes, age-restricted product sales, or any other matter for which the Store is responsible under Section 4 of these Terms.
18. Binding arbitration and class-action waiver
Except for claims that qualify for and remain in small-claims court (generally claims under US$5,000), any dispute arising out of or related to these Terms or the Service shall be resolved exclusively by individual binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The seat of arbitration shall be Middlesex County, New Jersey. You and the Platform waive any right to a jury trial and waive any right to bring or participate in a class action, collective action, or representative proceeding.
19. Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Subject to Section 18, the state and federal courts located in Middlesex County, New Jersey shall have exclusive jurisdiction over any dispute not subject to arbitration.
20. Severability and entire agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy and the Limitation of Liability, constitute the entire agreement between you and the Platform regarding the Service and supersede any prior agreement on the same subject.
21. Changes
The Platform may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

23. Notice on legal review
These documents are plain-English summaries of the Platform's standard terms. They have been drafted to be readable and to allocate responsibility honestly between the Platform and the Store. They have not been individually reviewed by a New Jersey-licensed attorney for this specific Store. Both the Platform and the Store recommend that you consult counsel before relying on any specific clause in a dispute.
